PolyPeptide Group AG (SIX: PPGN) released an ad hoc announcement on 13 October 2026 reporting the provisional interim result of the public tender offer by Samsung Peptide AG, a direct subsidiary of Samsung Biologics Co., Ltd., for all publicly held registered shares of PolyPeptide. [1]

What the provisional numbers say

The main offer period ended on 12 October 2026 at 4:00 p.m. Swiss time. [1] According to the provisional interim result published by Samsung Peptide and relayed by PolyPeptide:

  • Samsung Peptide and persons acting in concert with it hold 29,123,892 PolyPeptide shares in aggregate, or 87.92% of the issued share capital and voting rights (participation rate). [1]
  • 29,014,418 PolyPeptide shares were tendered into the offer by the end of the main offer period, or 87.59% of the issued share capital and voting rights and 87.88% of all PolyPeptide shares to which the offer relates (success rate). [1]

PolyPeptide states that the interim result published today is provisional and is available on Samsung Biologics' offer page, and that the definitive interim result is expected on 16 October 2026. [1][2]

Conditions already flagged as met, and what is still open

Subject to confirmation of the preliminary numbers in the definitive interim result, PolyPeptide says the minimum-acceptance-rate condition in Samsung Peptide's offer prospectus of 31 August 2026 has been satisfied. [1] The "no material adverse effect" condition has also been satisfied, according to the same provisional result. [1]

The offer remains subject to other customary conditions. Those include regulatory approvals in certain jurisdictions, removal of transfer restrictions and voting limitations from PolyPeptide's articles of association, and election of the persons nominated by Samsung Biologics to PolyPeptide's board at an extraordinary general meeting. [1] PolyPeptide has invited that meeting for 26 October 2026. [1][3]

Next calendar steps

If the offer is declared successful in the definitive notice of the interim result, an additional acceptance period of ten trading days will run from 19 October 2026 to 30 October 2026 at 4:00 p.m. Swiss time, according to the provisional interim result as published by Samsung Peptide. [1] Provisional and definitive end results would then be published after that additional period ends. [1]

Why it matters for the peptide research and supply community

PolyPeptide describes itself as a specialised contract development and manufacturing organisation (CDMO) for peptide-based active pharmaceutical ingredients, with six GMP-certified facilities in Europe, the United States and India. [1] Samsung Biologics describes itself as a leading CDMO; Samsung Peptide is the formal offeror. [1] A high provisional acceptance rate does not by itself close the deal: definitive confirmation, remaining conditions and the additional acceptance window still sit between today's numbers and a completed change of control. For laboratories and buyers who follow peptide manufacturing capacity, the story is an industry-structure update, not a change in any research-use product listing.

This item follows yesterday's Hot Today note on the main offer window closing; it reports the first official provisional acceptance figures. [1]
